Orca Chief Legal Officer Christopher Montagano stated that the SEC's new innovation exemption provides a regulatory framework to test the efficiency of blockchain rails against traditional finance.

DeFi protocols now have a path to test whether blockchain-based trading can outperform traditional financial systems under regulatory oversight. Speaking at Korea Blockchain Week 2026, Orca Chief Legal Officer Christopher Montagano noted that the SEC's innovation exemption allows for a real-world trial of these technologies.

The SEC issued the innovation exemption on September 17, 2026, providing five years of conditional relief that expires on September 17, 2031. The framework enables Tokenized Securities Venues and specific liquidity providers to facilitate permissioned trading of tokenized US-listed National Market System stocks.

The exemption is designed to accommodate automated market makers and liquidity pools on public blockchains. Unlike traditional exchanges that rely on order books and registered dealers, these pools use pricing formulas to execute trades. The framework allows these entities to operate without registering as traditional exchanges or dealers.

The exemption includes specific compliance requirements, such as adherence to sanctions rules and the necessity of issuer consent. Because the company whose stock is being tokenized must approve the process and the venue must screen participants, the framework remains distinct from fully permissionless DeFi.

Orca has been engaged in discussions with the SEC regarding these frameworks since at least 2025, largely through an initiative called Project Open. The platform has already been facilitating the trading of tokenized stocks, such as Forward Industries common stock, since November 2025.

The five-year window is intended to allow regulators and builders to collect data on whether on-chain trading of listed equities is effective. While the exemption offers a path for projects willing to implement permissioned layers and compliance controls, protocols focused on fully open access may not fit within the current structure.

Market reaction to the comments from Montagano has been muted. Future developments will likely depend on the number of venues that launch, the volume of liquidity entering tokenized stock pools, and the willingness of issuers to participate. The results of this experiment could influence whether a permanent regulatory framework is eventually established.
