# Payments Firm OpenPayd Targets Year-End Nasdaq Listing

London-based payments infrastructure provider OpenPayd is moving toward a Nasdaq listing by the end of the year to fuel its U.S. expansion and acquisition strategy.

OpenPayd is in the final stages of the U.S. Securities and Exchange Commission’s review regarding its merger with Titan Acquisition Corp. CEO Iana Dimitrova expects the deal to close by the end of the year, provided it receives shareholder and regulatory approval. If successful, the company will trade on the Nasdaq under the ticker OP.

The firm, which provides infrastructure for fiat and stablecoin payments, reported $73 million in revenue for the year ended April 30, 2026, compared to $57 million in the previous year. While the company recorded a $2.8 million net loss for the latest year, a spokesperson noted this was entirely due to $5.8 million in one-time transaction costs related to the merger.

OpenPayd is positioning itself for a U.S. market entry by April 2027. The company recently acquired MSB USA Inc., bringing 43 state money transmitter licenses into its group. Dimitrova stated that the firm is eyeing further acquisitions to secure additional licenses and technology, noting that a public listing would provide the capital and shares necessary to support these growth plans.

The company currently counts Kraken, B2C2, and OKX among its clients. Dimitrova highlighted that the U.S. market offers significant opportunities in cross-border payments and stablecoin services, despite ongoing delays in broader digital-asset market-structure legislation.

Under the terms of the Titan Acquisition Corp. deal, OpenPayd’s implied pro forma equity value could reach $1.1 billion. The company is also considering a private placement ahead of the merger to further bolster its funding.
