# SEC Adjusts Quorum Rules Following Commissioner Resignation

The SEC has updated its quorum requirements following the departure of Commissioner Hester Peirce, allowing a single eligible member to conduct business if others are disqualified from a specific matter.

Hester Peirce resigned from her position as an SEC commissioner effective Oct. 2. Her departure leaves the agency with two sitting commissioners, Paul Atkins and Mark Uyeda.

In response to the reduced roster, the SEC amended its quorum rules on Sept. 30. The new provision, which took effect Oct. 2, allows a single eligible commissioner to constitute a quorum for a specific matter if all other sitting members are disqualified from participating.

The agency stated that this change is intended to promote flexibility and ensure the continued operation of the Commission. It characterized the amendment as an internal management and organizational adjustment rather than a change to substantive regulation.

While the quorum rule has been updated, the legal requirements for Commission decisions remain in place. The SEC noted that the amendment does not exempt future rules from notice-and-comment requirements under the Administrative Procedure Act, nor does it grant the agency additional substantive authority.

Several crypto-related measures remain in the proposal stage. These include custody reform, which addresses how registered advisers and investment companies handle crypto assets, and a proposed offering regime for certain investment contracts. The custody proposal was approved for release on Oct. 1 by a vote from Atkins, Peirce, and Uyeda.

Separately, the SEC has issued a temporary conditional exemptive order regarding tokenized-stock trading, which remains in effect. The new quorum rule does not alter the existing safeguards or conditions associated with that relief.

Market participants are looking toward upcoming deadlines for these measures, including the Oct. 20 comment deadline for the offering rule and the Dec. 7 deadline for the custody proposal. Future Commission decisions will be subject to the updated quorum arrangements and existing legal frameworks.
