Strategy Raises $2 Billion in Share Sales Without Bitcoin Acquisition
Strategy, formerly known as MicroStrategy, generated $2.0065 billion through common share sales between Aug. 17 and Aug. 23. The company did not purchase Bitcoin during this period, leaving $1.59 billion in flexible cash for potential capital allocation.

Between Aug. 17 and Aug. 23, Strategy sold 18,261,118 shares of its common stock, MSTR, raising $2.0065 billion. The company reported no Bitcoin purchases or sales during this timeframe, maintaining its holding of 840,447 BTC at an average cost of $75,385 per coin.
The capital raised was distributed across several accounts. Strategy used $136.4 million to repurchase 1,431,212 shares of its variable-rate preferred stock, STRC, and allocated $300 million to its USD Reserve. The remaining $1.5701 billion was added to its USD Cash balance.
The company's USD Cash balance of $1.59 billion is designated for flexible use. Management may deploy these funds to acquire Bitcoin, repurchase MSTR or preferred stock, repay or redeem convertible notes, or increase the USD Reserve. These options are permitted uses rather than commitments, meaning Bitcoin acquisition is one potential destination for the capital rather than a guaranteed one.
The share issuance resulted in an approximate 4.59% increase in the implied basic share count. According to the company's Aug. 24 filing, the sale of MSTR shares implied average net proceeds of about $109.88 per share.
Strategy maintains $1 billion in MSTR repurchase authorization and $516.6 million in preferred-security repurchase authorization. Management indicated that the flexible cash pool is intended to respond to market conditions, such as price dislocations in Bitcoin or the company's own securities, without adhering to fixed thresholds or binding rules.
As of Aug. 26, Bitcoin was priced at approximately $78,780. Strategy has not disclosed a specific price-based trigger for Bitcoin purchases using its USD Cash.
